Board of Directors

The FHLBank Boston board of directors is comprised of professionals with experience in financial services, housing and community development, and real estate within the six New England states. The board includes member directors (a majority), who are nominated and elected by members in each state, and independent directors (at least 40%), who are nominated by the board of directors and elected “at large” by all of our members voting together. Board members are elected to four-year terms.

Board Elections     

There are currently eight member directors (three from Massachusetts, and one from each of the other five New England states) and seven independent directors. FHLBank Boston will retain that composition in 2023. 

In 2022, member director elections will be held in New Hampshire (one position) and Vermont (one position), and an independent director election will be held for two positions, in each case for a four-year term commencing on January 1, 2023. The nomination period for member director elections, and the application period for independent director elections, will commence on June 15, 2022 and end at 5:00 p.m. on July 18, 2022 (the “deadline”).

Member Director Election: Members in New Hampshire wishing to nominate a member director candidate must complete and submit a Certificate of Nomination for New Hampshire, and members in Vermont wishing to nominate a member director must complete and submit a Certificate for Nomination for Vermont, so that it is received before the deadline. More information about how to nominate a candidate for a member director position in New Hampshire or Vermont is included in the link below (“Nomination, application and eligibility information”), and will also be emailed to member CEOs (or other member contacts) in those states on June 15, 2022. 

Independent Director Election: Individuals who are not affiliated with any member and who wish to be considered for nomination to an independent director position should deliver a completed Independent Director Application Form along with a PricewaterhouseCoopers Certification Form to FHLBank Boston so that they are received before the deadline.  More information, including eligibility requirements and instructions for submitting the required forms, can be found below (“Nomination, application and eligibility information”).

We seek to promote diversity in the composition of the board of directors and encourage member director nominations of, and independent director applications from, eligible candidates who will expand the board’s demographic diversity (gender, racial/ethnic, disability).
